1. About These Terms
These Terms and Conditions ("Terms") govern your use of Blind Valet, a tournament management software service (the "Service") provided by Brick River Lab SAS, a French société par actions simplifiée registered at 14 Avenue des Tourterelles, 44100 Nantes, France, RCS 811 820 794 Nantes ("Brick River Lab," "we," "us," "our").
By creating an account or using the Service, you ("you," "Subscriber") agree to these Terms. If you do not agree, do not use the Service.
These Terms are written in English. A French translation is provided for convenience. In the event of conflict, the English version prevails, except where French consumer law requires the French version to prevail for French consumers.
2. The Service
Blind Valet is a software-as-a-service platform for managing poker tournaments and clubs. Features include a tournament clock, blind-structure management, seating, payout calculation, league rankings, and related tools.
What Blind Valet is not. Blind Valet is not a gambling operator, casino, card room, betting exchange, payment processor for prize pools, or escrow service. We never receive, hold, distribute, or process any wagers, buy-ins, prize money, or other gambling-related funds. The only payments processed through Blind Valet are subscription fees you pay to us.
The payout calculator and other tools are informational utilities. We are not a party to any tournament organized using the Service.
3. Account
Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
Accuracy. You agree to provide accurate, current information and keep it up to date.
Security. You are responsible for safeguarding your credentials and for all activity that occurs under your account, including activity by users you invite (e.g., club staff, tournament directors).
One Account Per Person or Entity. Accounts are for a single named individual or entity. Sharing credentials across distinct operators, clubs, or businesses is not permitted.
4. Plans and Eligibility
Blind Valet has four tiers:
Kitchen Table — a free tier with limited features, available without subscription. Free Subscribers are bound by these Terms in the same way as paid Subscribers.
Home Game — for personal and private events.
Club — for home games, recreational clubs, hobbyist leagues, and non-commercial uses, including non-profit organizations and charitable fundraisers.
Pro — required for any Subscriber that is a for-profit business and uses Blind Valet in furtherance of that business. Examples include, without limitation:
- casinos and card rooms;
- pub leagues and bar/restaurant tournament programs;
- event organizers running ticketed or commercial poker events;
- paid league operators;
- gaming and hospitality venues running guest-facing tournaments.
The trigger for Pro is commercial use within a for-profit business, regardless of stake size, prize pool, or whether participants pay entry fees. Hobbyist clubs and non-profits remain eligible for Club.
Tier compliance. Using a lower-tier plan for activity that requires Pro is a material breach of these Terms. We may require an upgrade to Pro, and if you do not upgrade promptly, we may suspend or terminate the account. We may rely on public information, account behavior, and direct outreach to determine the appropriate tier. The Pro eligibility trigger applies regardless of tier: a for-profit business cannot avoid the Pro requirement by remaining on Kitchen Table or any other lower-tier plan.
5. Fees and Billing
Subscription Fees. Fees are charged in advance for each billing period (monthly or annual) and renew automatically until cancelled.
Currency. Each subscription is billed in a single currency, set when the first invoice is issued. The currency cannot be changed thereafter. Switching currencies requires cancelling and re-subscribing.
Taxes. Prices include applicable VAT or local taxes where required.
Grandfathering. Existing subscriptions retain their original price as long as the subscription remains continuous. A lapse in payment that requires a new subscription will be priced at the then-current rate.
Refunds. All sales are final. You may cancel at any time, and your subscription will remain active through the end of the paid period. Goodwill refunds may be granted at our sole discretion but are not an entitlement.
EU Consumer Withdrawal Right. EU consumers have a 14-day right of withdrawal from the date their subscription begins, under Articles L221-18 et seq. of the French Consumer Code. To exercise this right, contact us at support@blindvalet.com within 14 days of subscribing, with a clear statement of your decision to withdraw. We will refund the subscription fees paid in full within 14 days of receiving your notice. This right applies to consumers only and does not apply to subscriptions taken in the course of a business or profession (including the Pro tier).
Failed Payments. If a payment fails, we will retry per Stripe's standard schedule. Continued non-payment will result in suspension and eventual cancellation.
Renewal Notices. Where required by applicable law (including the French Loi Châtel for annual consumer subscriptions), we will provide advance notice of automatic renewal so that you may exercise your right to cancel before the next billing period.
6. Gambling, Wagering, and Local Law
Your responsibility. You alone are responsible for ensuring that your tournaments and any associated wagering, prize distribution, or gambling activity comply with all laws applicable to you, including national, regional, and local laws and licensing requirements.
No legal advice. Nothing on the Service or in these Terms constitutes legal advice. We make no representation that your use of the Service, or any tournament you organize, is lawful in any jurisdiction.
No facilitation of unlawful activity. You may not use the Service for unlawful gambling, underage gambling, unlicensed commercial gambling where licensing is required, money laundering, or any other unlawful purpose.
Indemnification (Gambling). You agree to indemnify, defend, and hold harmless Brick River Lab from any claim, loss, fine, or liability arising out of your tournaments, your gambling-related activity, your prize distribution, or your failure to comply with applicable law. This obligation survives termination.
Law Enforcement Cooperation. We reserve the right to report suspected unlawful activity to relevant authorities and will cooperate fully with valid legal process, including subpoenas, court orders, and law-enforcement investigations relating to unlawful gambling or other illegal use of the Service.
7. Acceptable Use
You agree not to:
- copy, modify, reverse-engineer, or create derivative works of the Service, except as permitted by mandatory law;
- resell, sublicense, or rent the Service;
- scrape, automate access beyond ordinary use, or interfere with the Service's operation;
- use the Service to harass, defame, or violate the rights of others;
- upload malicious code or attempt unauthorized access;
- circumvent tier eligibility, including by sharing accounts across distinct businesses or operators.
We may suspend or terminate accounts that breach these rules.
Fair Use. If your use of the Service places an undue burden on our infrastructure (for example, abnormally high request volumes, automated traffic patterns, or excessive bandwidth use that affects other Subscribers), we may throttle, rate-limit, or temporarily suspend your access to protect Service availability for everyone. We will provide notice where practicable.
8. Intellectual Property
We retain all rights, title, and interest in the Service, including the software, branding, design, and any aggregated or anonymized data derived from use. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service during your paid term, for your own use as authorized under your plan.
You may not use our trademarks, logos, or branding without our prior written permission.
Feedback. If you provide suggestions, ideas, feature requests, or other feedback regarding the Service, you grant Brick River Lab a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, modify, and incorporate that feedback into the Service or any other product, without compensation or attribution.
Promotional Use of Pro Subscriber Branding. Pro Subscribers grant Brick River Lab the right to use their name, logo, and trademarks to identify them as a Blind Valet customer in marketing and promotional materials (e.g., on our website, in case studies, or in sales communications). Pro Subscribers may opt out at any time by emailing support@blindvalet.com.
9. Your Content and Data
Ownership. You own the player, club, tournament, and league data you enter into the Service.
License to us. You grant us a worldwide, royalty-free licence to host, store, transmit, process, and display this content for the purpose of providing the Service to you.
Aggregate data. We may use anonymized and aggregated data (data that does not identify you or any individual) for analytics, product improvement, and public statistics.
Privacy. Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
Data Processing (GDPR). When you enter third-party personal data into the Service (such as player names, contact details, or rankings), you act as the Data Controller and Brick River Lab acts as the Data Processor, in accordance with Article 28 of the General Data Protection Regulation (GDPR). The terms of our processing are set out in our Data Processing Agreement (DPA), available on request at support@blindvalet.com and incorporated into these Terms by reference. You are responsible for establishing and documenting the lawful basis (consent, legitimate interest, etc.) for entering such data, and for honoring data-subject rights requests directed to you as Controller.
Security. We implement reasonable technical and organisational measures to protect your account and data, including encryption in transit (TLS), authentication and access controls, and the use of established infrastructure providers (Google Firebase, Stripe) that maintain their own industry-recognised security standards. No system is fully secure, and we cannot guarantee against all unauthorised access. You are responsible for safeguarding your account credentials and for promptly notifying us of any suspected compromise. In the event of a personal-data breach, we will notify affected Subscribers and authorities as required by applicable law, including Articles 33 and 34 of the GDPR.
Data Export. You may export your tournament and club data at any time during an active subscription, in standard formats provided by the Service.
Data Retention After Cancellation. We retain your account data for a minimum of three (3) years after cancellation, so that you can restore it if you re-subscribe. After this period, we may delete or anonymize your data at our discretion. You may request earlier deletion at any time by contacting us, subject to legal obligations to retain certain records (such as billing records).
10. Third-Party Services
The Service relies on third-party providers, including:
- Stripe for payment processing (Stripe's own terms apply to payment-related activity);
- Google Firebase for hosting, database, and authentication;
- additional infrastructure and analytics providers as described in our Privacy Policy.
We are not responsible for outages, failures, or actions of third parties, except as required by mandatory law.
11. Service Availability and Modifications
The Service is provided on an "as available" basis. We do not commit to a specific uptime SLA. We may modify, add, or deprecate features at any time and will provide reasonable notice of material changes that affect your subscription. We may perform maintenance that temporarily interrupts the Service and will aim to minimize disruption.
12. Support
All Subscribers may contact us through the in-app support chat or by email at support@blindvalet.com. We aim to respond promptly but make no guarantee of response or resolution time.
Pro Priority Support. Pro Subscribers' inquiries are placed at the top of our support queue. Priority does not include any guaranteed response time, resolution time, or service-level commitment.
13. Termination
By you. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the paid period.
By us. We may suspend or terminate your account for breach of these Terms (including tier eligibility), prolonged inactivity, or non-payment after retries.
Effect of termination. On termination, your right to use the Service ends. Your data is retained per Section 9.
14. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
We make no warranty that your use of the Service, or any tournament you organize using it, is lawful in any jurisdiction.
Nothing in this section excludes liability that cannot be excluded under applicable law, including for gross negligence, willful misconduct, or death or personal injury caused by negligence.
15. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or your use of the Service is limited to the fees you have paid us in the twelve (12) months preceding the event giving rise to the liability.
We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost prize pools, gambling losses, or loss of data, even if we have been advised of the possibility.
This section does not limit liability that cannot be limited under applicable law and does not affect the statutory rights of consumers.
16. Indemnification
You agree to indemnify, defend, and hold harmless Brick River Lab, its officers, employees, and agents from any claim, demand, damage, loss, or expense (including reasonable legal fees) arising out of:
- your tournaments and gambling-related activity (Section 6);
- your use of the Service in breach of tier eligibility (Section 4);
- your breach of these Terms;
- your infringement of any third party's rights.
17. Governing Law and Disputes
Governing law. These Terms are governed by the laws of France, without regard to conflict-of-law rules.
Jurisdiction. Disputes will be resolved by the competent courts of Nantes, except where mandatory law provides otherwise. EU consumers may bring proceedings in the courts of their country of residence.
Informal Resolution. Before initiating a formal claim, you agree to contact us at support@blindvalet.com and try to resolve the dispute informally. We will do the same.
18. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you may cancel before they take effect.
19. Miscellaneous
Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
No waiver. Our failure to enforce a provision is not a waiver.
Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our business.
Force Majeure. Neither party is liable for failure or delay caused by events beyond reasonable control (natural disasters, war, government action, internet or infrastructure failures, etc.).
Entire Agreement. These Terms, together with the Privacy Policy and any plan-specific terms, constitute the entire agreement between you and us regarding the Service.
Notices. We will send notices to the email address on your account. You may send notices to us at support@blindvalet.com.
